Palate Power Americas Inc – Terms of Use

These Terms of Use ("Terms") govern access to and use of the Palate platform, including all related websites, applications, dashboards, QR-enabled services, and associated technologies (collectively, the "Services"), operated by Palate Power Americas Inc, a company incorporated in the United States and based in Alpharetta, Georgia ("Palate", "we", "us", or "our").

By accessing or using the Services, you ("Vendor", "you", or "your") agree to be legally bound by these Terms. If you do not agree, you must not use the Services.

1. Nature of the Services

Palate provides a food technology platform that enables restaurants, cafés, bars, and other food and beverage businesses to digitize menus, collect dish-level feedback, access analytics, and utilize operational and marketing tools.

Palate is a technology service provider only. Palate does not operate restaurants, prepare food, guarantee sales outcomes, or act as a bank, payment processor, or financial institution.

2. Eligibility

You may use the Services only if:

  • You are a legally registered business or an authorized representative thereof
  • You have the legal authority to bind the business to these Terms
  • You comply with all applicable federal, state, and local laws and regulations

3. Account Registration and Security

  • You must provide accurate, current, and complete business information
  • You are responsible for maintaining the confidentiality of login credentials
  • You must notify Palate immediately of any unauthorized account access

Palate is not responsible for losses resulting from compromised credentials.

4. Scope and Availability of Services

Services may include:

  • Digital menu management and QR technology
  • Dish-level feedback and analytics
  • Customer discovery and promotional exposure
  • Access to future features such as reservations, ordering, payments, loyalty, and advanced analytics

Palate may modify, suspend, or discontinue features at its discretion with reasonable notice.

5. Vendor Responsibilities

You agree to:

  • Ensure menu descriptions, pricing, imagery, and allergen disclosures are accurate and lawful
  • Comply with food safety, labeling, advertising, and consumer protection laws
  • Ensure uploaded content does not infringe intellectual property or other rights
  • Honor prices, offers, and availability displayed via Palate

Palate does not verify food quality, preparation standards, or service delivery.

6. Fees and Payments

  • Subscription fees are payable in advance per the selected plan
  • Fees are non-refundable unless required by law
  • Palate may revise pricing with prior notice

Payment processing services, where available, are provided by third-party payment service providers. Palate is not responsible for payment authorization, settlement, or chargebacks.

7. Intellectual Property

  • Palate retains all rights, title, and interest in its platform, software, trademarks, and technology
  • Vendors retain ownership of their menus, branding, and proprietary content
  • Vendors grant Palate a non-exclusive, worldwide, royalty-free license to display menu content, images, and descriptions for service operation, discovery, analytics, and marketing

8. Data, Analytics, and Insights

  • Analytics may be generated using aggregated and anonymized platform data
  • Palate may use non-identifiable data to improve services and develop new features
  • Palate does not sell personally identifiable customer data

9. Acceptable Use

You may not:

  • Use the Services for unlawful, deceptive, or misleading purposes
  • Upload malicious code or harmful content
  • Attempt to reverse engineer, disrupt, or interfere with the platform

10. Suspension and Termination

Palate may suspend or terminate access for:

  • Breach of these Terms
  • Unlawful or harmful activity
  • Non-payment of fees

Upon termination, access to the Services will cease. Certain provisions will survive termination.

11. Disclaimers

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Palate makes no warranties regarding uninterrupted service, accuracy of analytics, or commercial results.

12. Limitation of Liability

To the fullest extent permitted by law:

  • Palate shall not be liable for indirect, incidental, consequential, or punitive damages
  • Palate's total liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim

13. Indemnification

You agree to indemnify and hold harmless Palate Power Americas Inc from claims arising out of:

  • Your menu content or business operations
  • Violation of laws or regulations
  • Misuse of the Services

14. Governing Law and Venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Georgia.

15. Changes to Terms

Palate may update these Terms periodically. Continued use of the Services constitutes acceptance of revised Terms.
